How It Works

How a Transaction Actually Runs

These are the stages a brokerage file moves through with us, and the paperwork that belongs to each one. The order matters: the mandate is agreed before we search, and due diligence is finished before funds move.

First Contact & Inquiry

An enquiry intake: what you are buying or selling, the budget or the asking price, the timeline, and how you intend to register and operate the aircraft afterwards.

Qualification & Mandate

We write down which side we are on — buyer representation, seller representation or advisory — before anything else, because it decides whose interest we act in for the rest of the deal.

Client KYC / AML

Client due diligence on individuals and entities: identity and jurisdiction, every beneficial owner at the 25% threshold or with ultimate control, source of funds and source of wealth, and sanctions and watchlist screening. The same standard applies whichever side of the deal you are on.

Market Search or Listing

Buying, we work from an acquisition brief: mission profile and longest leg, runway constraints, passengers and baggage, expected annual hours, type and year range, maximum total time, engine programme, avionics, cabin layout and pedigree preferences. Selling, we take a listing intake — authority to sell verified, any lien and its payoff contact, times and cycles as of a date, engine and APU programme status, last and next major inspections, damage history and modifications, an asking price and a confidential floor, and whether the sale is to stay off-market.

Offer, LOI & Terms

We represent your position through the letter of intent and into the purchase agreement: price, deposit, inspection scope, who bears what, and the conditions the deal has to meet before it closes.

Due Diligence & Pre-Purchase Inspection

An agreed inspection scope at a named facility with our oversight, a records and title review alongside it, and a discrepancy list with an airworthiness flag and an estimated cost against every finding — so the decision to accept, accept conditionally or walk away is made on paper, not on impressions.

Purchase Agreement, Escrow & Closing

The closing set is assembled in escrow and every pre-closing condition is signed off before anyone authorises a filing or a disbursement. The checklist below is the one we work through.

Delivery, Registration & Commission

Technical acceptance and a delivery receipt recording the condition the aircraft was handed over in, registration and insurance placed, and commission released from escrow against an invoice. Where an introduction was made by a third party, the finder's fee agreement — including its tail period and governing law — is in place before, not after.

What We Check Before You Sign

Two checklists carry most of the risk in an aircraft purchase. Neither is optional on a deal we run, and both are signed.

Records & Title

  • Complete airframe logbooks since new — or the gaps documented
  • Engine and APU logbooks, trend data and programme statements
  • Current weight and balance, and equipment list
  • AD compliance report current; service bulletin and service letter status
  • Form 337 major repair and alteration records; STC and modification documentation
  • Export and import documentation on a cross-border deal
  • Title search ordered and clean; liens and mortgages identified with payoff letters
  • International Registry (Cape Town) status checked
  • Registration current and consistent with the records
  • No open tax or customs issues identified

Before the Money Moves

  • Inspection complete and the aircraft formally accepted
  • Clean title confirmed and the liens to be released identified
  • Insurance arranged to bind at closing
  • Ownership structure ready — trust documents executed where one is used
  • Final funds-flow statement agreed by every party
  • KYC and sanctions re-screened at closing, not only at the start
  • Wire instructions verified through an independent channel
  • Bill of sale, registration application, lien releases and discharges, IDERA where applicable, delivery receipt and proof of insurance all in escrow
  • Escrow authorised to file, title transferred, funds disbursed to the agreed flow
  • Conformed closing set distributed to everyone who needs it

  • How long a transaction typically runs from signed mandate to delivery.
